Zontra OS Terms of Service

Parts of this Agreement

This Agreement consists of the following terms and conditions (hereinafter the "General Terms") and terms and conditions, if any, specific to use of individual Services (hereinafter the "Service Specific Terms"). The General Terms and Service Specific Terms are collectively referred to as the "Terms". In the event of a conflict between the General Terms and Service Specific Terms, the Service Specific Terms shall prevail.

Acceptance of the Terms

You must be of legal age to enter into a binding agreement in order to accept the Terms. If you do not agree to the General Terms, do not use any of our Services. If you agree to the General Terms and do not agree to any Service Specific Terms, do not use the corresponding Service. You can accept the Terms by:

• Clicking to accept or agree to the Terms, where this option is made available to you by Zontra in the user interface for any Service; or
• Actually using the Services. In this case, you understand and agree that Zontra will treat your use of the Services as acceptance of the Terms from that point onwards.

Description of Services

Zontra provides a field operations management platform ("Services") that includes:

• GPS-based real-time location tracking and monitoring of field personnel
• Attendance management with photo and location verification
• Geofencing capabilities for location-based alerts and compliance
• Task assignment, tracking, and completion verification
• Route planning and optimization
• Analytics, reporting, and performance dashboards
• Mobile applications for iOS and Android devices
• Web-based administrative dashboard
• API access for integration with third-party systems

User Accounts and Registration

• To access certain Services, you may be required to create an account with Zontra. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
• You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify Zontra immediately of any unauthorized use of your account.
• If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
• Organization administrators are responsible for ensuring that all users within their organization comply with these Terms and applicable laws, including employment and privacy regulations.

Restrictions on Use

In addition to all other terms and conditions of this Agreement, you shall not:

• Transfer the Services or otherwise make them available to any third party except as authorized
• Use the Services to send unsolicited communications, spam, or fraudulent content
• Use the Services to violate any applicable laws or regulations, including employment, privacy, and data protection laws
• Use the Services to harass, discriminate against, or harm field agents or other users
• Attempt to gain unauthorized access to the Services, other accounts, or computer systems
• Interfere with or disrupt the integrity or performance of the Services
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services
• Remove or modify any proprietary notices, labels, or marks on the Services
• Use the Services for any purpose that is unlawful or prohibited by these Terms

Location Tracking and Data Collection

• The Services include location tracking features that collect precise GPS data from field agents' mobile devices. This data is collected with user consent and is used to provide attendance verification, task tracking, and operational analytics.
• You acknowledge that you have obtained all necessary consents from your employees or field agents before enabling location tracking features, in compliance with applicable privacy and employment laws.
• You are solely responsible for how you use the location and other data collected through the Services and for ensuring such use complies with all applicable laws and regulations.

Intellectual Property Rights

• Zontra owns all rights, title, and interest in and to the Services, including all intellectual property rights. These Terms do not grant you any rights to Zontra's trademarks, service marks, or logos.
• You retain ownership of all data and content that you submit to the Services ("Your Data"). You grant Zontra a limited license to use, process, and store Your Data solely to provide the Services.
• Zontra may use aggregated, anonymized data derived from your use of the Services to improve the platform and develop new features.

Payment and Fees

• Subscription fees for the Services are as set forth in the applicable order form or pricing page. Fees are billed in advance on a monthly or annual basis as selected.
• All fees are non-refundable except as expressly set forth in these Terms or a separate written agreement.
• Zontra reserves the right to change pricing upon 30 days' notice. Price changes will take effect at the start of the next billing cycle.
• If payment is not received within the specified period, Zontra may suspend or terminate your access to the Services.

Service Availability and Support

• Zontra strives to maintain 99.9% uptime for the Services but does not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible.
• Technical support is provided via email and in-app channels during business hours. Enterprise customers may have access to priority support as specified in their service agreement.
• Zontra reserves the right to modify, suspend, or discontinue any part of the Services with reasonable notice.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. ZONTRA DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOU USE THE SERVICES AT YOUR OWN RISK.

Limitation of Liability

• TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZONTRA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES.
• ZONTRA'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU TO ZONTRA IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
• ZONTRA IS NOT RESPONSIBLE FOR ANY DECISIONS OR ACTIONS TAKEN BASED ON DATA OR ANALYTICS PROVIDED THROUGH THE SERVICES.

Indemnification

You agree to indemnify, defend, and hold harmless Zontra and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any claims by your employees, field agents, or third parties related to your use of the tracking and monitoring features.

Termination

• You may terminate your account at any time through your account settings or by contacting support.
• Zontra may suspend or terminate your access to the Services for violation of these Terms, non-payment, or for any reason with reasonable notice.
• Upon termination, your right to use the Services will cease immediately. You may request export of Your Data within 30 days of termination.
• Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property, indemnification, limitation of liability, and governing law.

Governing Law and Dispute Resolution

• These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
• Any dispute arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts in Gurgaon, Haryana, India.
• Before initiating any legal proceedings, the parties agree to attempt to resolve disputes through good faith negotiations.

Modifications to Terms

Zontra reserves the right to modify these Terms at any time. Material changes will be communicated via email or through the Services at least 30 days before they take effect. Your continued use of the Services after the effective date of any modifications constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services.

General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Zontra regarding the Services and supersede all prior agreements and understandings.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
• Assignment: You may not assign these Terms without Zontra's prior written consent. Zontra may assign these Terms freely.
